Welcome to MLS Delivery (the "Service"), operated by MLS-Images, Inc. ("we", "us", "our"). By creating an account, subscribing to a plan, or otherwise accessing the Service at https://mls-delivery.com, you agree to be bound by these Terms of Service and by our Privacy Policy.
MLS Delivery provides a hosted platform that real estate photographers and their clients (agents, brokerages) use to manage photo shoot bookings, deliver finished photography, and communicate about the status of ongoing projects. Account access is granted upon selection and purchase of a Subscription Plan and is scoped to the features described in the plan you select.
You must provide accurate, current information (name, email, phone number, company name) when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@mls-delivery.com if you believe your account has been accessed without your authorization.
You agree not to (a) use the Service in violation of any applicable law or regulation, (b) upload content that infringes any third party's rights, (c) interfere with or disrupt the integrity or performance of the Service, or (d) attempt to gain unauthorized access to any portion of the Service or its related systems.
Subscription fees are billed in advance on a recurring basis (weekly, monthly, or annually, depending on the plan you select) via our payment processor, Stripe. You authorize us to charge the payment method on file for all fees incurred by your account. If a charge fails and is not resolved within a reasonable period, we may suspend or terminate access to the Service.
If you provide a mobile phone number and consent to SMS notifications during signup, we will send you transactional messages related to your account and use of the Service (booking confirmations, delivery-ready notifications, appointment reminders, and one-time account security codes). We do not use SMS for marketing or promotional content.
See our Privacy Policy for how we handle your phone number. Your carrier is not liable for delayed or undelivered messages.
You retain all right, title, and interest in the photographs, videos, and other content ("Content") you upload to the Service. You grant us a limited, non-exclusive, royalty-free license to host, transmit, and display your Content solely to operate and provide the Service to you and the recipients you designate. We do not sell, license, or use your Content for any other purpose.
You may cancel your subscription at any time from within the Service. Upon cancellation you retain access through the end of the current billing period. We may suspend or terminate your account without notice for material breach of these Terms, for fraud, or where required by law.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AGAINST UNAUTHORIZED ACCESS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MLS-IMAGES, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID US FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws provisions. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Tarrant County, Texas, for all disputes arising out of or relating to these Terms or the Service.
We may update these Terms from time to time. Material changes will be announced by email to the address on file for your account and by a notice posted in the Service. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
